Client Agreement | 客戶協議

Welcome to Gold Fun Corporation Limited (hereinafter referred to as "GF" or "the Company") as your precious metals trading service provider. Before opening an account and trading, please read the following terms and conditions carefully.

歡迎您選擇金豐來有限公司（以下簡稱「GF」或「公司」）作為您的貴金屬交易服務提供商。在您開設戶口並進行交易前，請仔細閱讀以下條款及條件。

1. Definitions and Interpretation | 定義和詮釋

In this Agreement, unless the context requires otherwise:
在本協議中，除非上下文另有要求：

Access Code: means the Password and the Login ID used to access the online trading service.
接通代碼：指用於接通網上買賣服務的密碼及登入號碼。

Account: means one or more precious metals trading accounts maintained by the Client with GF from time to time for the sale and purchase of precious metals.
戶口：指客戶不時於GF維持，用作代客戶買賣貴金屬的一個或多個貴金屬交易戶口。

Affiliates: means any company that is, now or hereafter, directly or indirectly related to Gold Fun Corporation Limited.
聯營公司：指現時或日後，任何直接或間接與GF有關之公司。

Agreement: means the Client Agreement entered into between the Client and GF, these Terms and Conditions, all schedules, appendices, and attachments hereto, and all amendments issued by GF in writing from time to time.
協議：指由客戶與GF簽署的客戶協議書、本條款及條件、本協議的所有附表、附錄和附件，以及GF以書面形式不時發佈的所有修改。

Business Day: means any day on which the Company is open for trading other than Saturday, Sunday, public holidays in Hong Kong, and any other day declared by GF to be a non-business day.
營業日：指GF營業的任何日子；週六、週日及香港公眾假期以及GF宣佈為非營業日的任何日子除外。

Client: means the person(s) whose name(s), address(es), and description(s) are set out in the "Precious Metals Trading Account Opening Form".
客戶：指姓名、地址及資料載於「貴金屬交易戶口開立表格」的人士。

2. Scope of Services | 服務範圍

The Client hereby authorizes GF to act as broker, agent, or principal in executing the Client's precious metals trading orders with the terms and conditions of this Agreement. This Agreement covers all accounts opened and maintained by the Client with GF for entering into spot contracts and conducting spot transactions in precious metals trading. The Client hereby expressly agrees and confirms GF by itself or its authorized representatives or staff, whether acting in its capacity as the principal or agents for any parties, shall have the absolute discretion to take opposite positions to match any open positions of the Client without any notification to Client or his Authorized Representative(s).

客戶特此授權 GF 作為經紀商、代理人或委託人，依照本協議的條款和條件執行客戶的貴金屬交易訂單。本協議涵蓋客戶在 GF 開設和維護用於現貨合約並進行貴金屬現貨交易的所有帳戶。客戶特此明確同意並確認，GF 本身或其授權代表或員工，無論是作為任何一方的委託人還是代理人，均擁有絕對酌情權採取相反的頭寸來匹配客戶的任何未平倉頭寸，而無需通知客戶或其授權代表。

3. Risk Disclosure | 風險聲明

3.1 Trading in precious metals involves the potential for profit as well as the risk of loss. The Client should understand that under adverse trading conditions, losses may exceed the amount of the margin deposit. Various unpredictable global factors influence the prices of precious metals, and the Client should bear the responsibility for their trading decisions and risks.

3.1 貴金屬交易涉及潛在的利潤機會以及虧損的風險。客戶應了解，在不利的交易條件下，虧損可能超過保證金存款。貴金屬價格受多種不可預測的全球因素影響，客戶應自行承擔交易決策和風險。

3.2 By agreeing to this Agreement, the customer authorizes GF, when executing the customer's precious metal buying and selling orders, to send part or all of the buying and selling orders to counterparties or liquidity providers that GF deems appropriate for execution based on market conditions, including but not limited to banks, financial institutions, experienced investors or GF itself.

3.2 客戶同意本協議，即授權GF在執行客戶的貴金屬買賣指令時，可根據市況，把部份或全部買賣訂單發給GF認為合適的對手方或流通量提供商執行，這包括但不限於銀行、金融機構、資深參與者或GF本身。

4. Client Declarations and Warranties | 客戶聲明和保證

The Client confirms that the information provided is true, accurate, and complete and declares the legal capacity to enter into this Agreement. The Client agrees to abide by the terms and conditions of this Agreement and confirms that they have fully understood the contents of the Agreement and the associated risks.

客戶確認所提供的信息真實、準確、完整，並聲明具有法律能力簽訂本協議。客戶同意遵守本協議條款及條件，並確認已充分理解協議內容及相關風險。

5. General Terms | 一般條款

5.1 Amendments to the Agreement: GF reserves the right to amend the terms of this Agreement at any time, and any amendments will be notified to the Client in writing.

5.1 本協議的修改：GF保留隨時修改本協議條款的權利，任何修改將以書面形式通知客戶。

5.2 Online Trading Services: The Client may conduct trading in precious metals through the online platform provided by GF.

5.2 網上買賣服務：客戶可通過GF提供的網上平台進行貴金屬交易。

6. Disclaimer | 免責聲明

6.1 The Client acknowledges and agrees that the Client retains full responsibility for all trading decisions of the Account and GF is responsible only for the execution, clearing and carrying out of transactions in the Account; nor will GF have any responsibility or obligation regarding any conduct, action, representation or statement of any introducing firm, investment advisor or other third party in connection with the Account or any transaction therein.

6.1 客戶確認並同意，客戶須對戶口內所有交易決定負上全責，而GF只負責戶口內交易之執行、結算和進行；至於任何介紹商號、投資顧問或其他第三者對戶口或戶口內任何交易所作之任何行為、作為、陳述或聲明，GF概不負上任何責任或義務。

6.2 The Client acknowledges that no trading recommendations and market or other information communicated to the Client by GF constitute either advice on which the Client is meant to rely on, or an offer to sell, or the solicitation of an offer to buy any Precious Metals. GF shall not be under any liability with respect to such recommendations and information. Although such recommendations and information are obtained from sources which GF believes to be reliable, they may be incomplete, unable to be verified and may be changed without notice to the Client, and GF makes no representation, warranty or guarantee with respect thereto or with respect to the tax consequences of the Client's transactions.

6.2 客戶確認，GF所給予客戶之任何買賣推薦及市場或其他資料，並不構成客戶加以依賴之建議或出售任何貴金屬之要約或作遊說客戶接受要約之用，以購買任何貴金屬。GF毋須為該等推薦及資料負上任何責任。任何該等推薦及資料雖來自金豐來認為可靠之資料來源，惟可能仍欠完滿或未經核證，並可在不予通知客戶之情況下有所更改，故GF概不就上述事項或客戶之交易所帶來之稅務後果作任何陳述、保證或擔保。

7. Notices | 通知

Any notice or other communications given to the Client by GF under this Agreement, if by email or other electronic devices, shall be deemed made or provided upon transmission of the message by GF.

倘GF根據本協議向客戶發出之任何通知或其他通訊透過電子郵件或其他方式以電子設備發出，則該訊息於傳送後即被視作已向客戶發出論。

8. Event of Default | 不履行合約

8.1 For this Agreement and for any trading in Precious Metals, any of the following events shall constitute an event of default:

(a) Any delay or default by the Client in complying with the terms and conditions hereunder or under the terms of any trading contract.

(b) In the case of an individual Client, the Client: (i) died, (ii) committing any act of bankruptcy, or a petition for bankruptcy having been filed against him; and/or (iii) becoming insane or otherwise having lost his full capacity to enter into agreements or contracts in general.

8.1 為執行本協議及進行任何貴金屬買賣，下列任何事項均足以構成不履行合約事件：

(a) 客戶延遲或未能遵守本協議的條款及條件或任何交易合約的條款。

(b) 如客戶為個人，則客戶或其任何合夥人：(i) 逝世；(ii) 作出破產行為或遭他人申請其破產；及╱或 (iii) 神經失常或喪失訂立協議或合約的充份資格。

8.2 Upon the happening of any event of default, all the rights and remedies of GF shall automatically become exercisable without notice to the Client, including but not limited to all powers of sale of collaterals, set-off and consolidation of Account, cancellation of unperformed contracts or any other commitments made on behalf of Client, sell any or purchase any or all precious metal positions held or carried for Client, settlement of unliquidated contracts, appropriation of Precious Metals from the Client's Account or sale thereof and satisfy any obligation Client may have to GF, either directly or by way of guaranty or suretyship, out of any of Client's funds or property in its custody or control.

8.2 在發生任何不履行合約事件時，GF享有的所有權利及補償即自動變成可以行使，而毋須向客戶發出任何通知。此等權利及補償包括但不限於出售抵押品、抵銷及合併戶口、取消尚未執行合約或其他任何以客戶名義作出的承諾、買賣任何為客戶持有的貴金屬頭寸、將未平倉的合約平倉、自客戶戶口中調撥或出售貴金屬的一切權力及用GF代客戶保存或控制的資金或財產來抵償客戶直接或因提供擔保而對GF負有的債務。

9. Termination | 結束條款

9.1 Without prejudice to clause 8, this Agreement shall continue in effect until terminated by either party given not less than seven (7) Business Days prior written notice to the other.

9.1 在不損害第8條規定之前提下，本協議將繼續有效，直至本協議中任何一方事先向另一方發出不少於七(7)個營業日之書面通知，以終止本協議。

9.2 Service of notice of termination by the Client pursuant to clause 9.1 shall not affect any transaction entered into by GF pursuant to this Agreement before GF has actually received the notice.

9.2 客戶根據第9.1條發出之終止通知將不影響GF在實際接獲通知前根據本協議訂立之任何交易。

9.3 Termination of this Agreement shall not affect any outstanding orders or any legal rights or obligations which may already have arisen.

9.3 終止本協議將不影響任何可能已產生但仍未履行之指令或任何法律權利或責任。

9.4 Notwithstanding clause 19.1, the Client shall have no right to terminate this Agreement if the Client has open positions or outstanding liabilities or obligations.

9.4 即使第9.1條有所規定，倘若客戶仍然持有未平倉合約或仍有未履行之法律責任或義務，則客戶無權終止本協議。

10. Miscellaneous | 其他

This Agreement is governed by the laws of the Hong Kong Special Administrative Region, and any disputes shall be submitted to the courts of the Hong Kong Special Administrative Region for resolution.

本協議受香港特別行政區法律管轄，任何爭議應提交香港特別行政區法院解決。

11. Language | 語言

If there is any discrepancy between the English and Chinese versions of this Agreement, the English version shall prevail.

如英文和中文版本的本協議有任何不一致之處，概以英文版本為準。
